“B2B Representative” refers to individuals who work for or on behalf of a B2B Party, or in the event that the B2B Party is a sole proprietorship, the B2B Representative is the sole proprietor.
“Company,” “Us,” “Our,” or “We” means the legal entity listed below with whom You have an existing agreement, or, if You do not have an existing agreement with an entity listed below, then the entity listed below as appropriate based on Your location:
- Perseus Group Software Corp., if You are located in Canada;
- Perseus Group Europe B.V., if You are located in the Middle East, Africa, or Europe, besides the United Kingdom;
- Perseus Group Software Ltd., if You are located in the United Kingdom;
- Perseus Software Brazil LTDA., if You are located in Brazil;
- Perseus Group Australia Pty Ltd, if You are located in Australia;
- Perseus Software US Inc., if this entity has entered into an agreement with a Perspective Business with whom You have a relationship; and
- Perseus Management Group Inc., if You are located anywhere else in the world, including in the United States of America, Mexico or a country in Central America or South America (except Brazil), or the Caribbean.
“Personal Information” means any information that identifies or relates to an individual or can be used in conjunction with other information to identify an individual, whether such information is explicitly regulated by applicable law or otherwise.
“Processing” means any operation or set of operations which is performed on Personal Information, encompassing the collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction or erasure of Personal Information. The terms “Process”, “Processes” and “Processed” will be construed accordingly.
“Prospect” means an individual who works for or on behalf of a Prospective Business who partakes in discussions regarding Our potential acquisition of part or all of that Prospective Business.
“Prospect Data Subject” means any individual who is employed by, or otherwise does business with (such as a customer, contractor, or vendor), a Prospective Business, but who is not a Prospect.
“Prospective Business” a business entity that is the subject of discussions regarding Our potential acquisition of part or all of that business entity or its assets.
“Vendor” means an individual or legal entity that is hired by Us to Processes Your Personal Information on Our behalf.

This Privacy Policy only applies when we Process Your Personal Information as a Controller (as hereinafter defined). Generally speaking, and without regard to any particular definition under applicable law, We are a data controller (“Controller”) when We determine the purpose and means of Processing the Personal Information of Prospects, Visitors, and B2B Representatives. When We act as a Controller with respect to the Personal Information that We receive from You or on Your behalf, We are responsible for providing appropriate privacy notices and disclosures to You with respect to Our Processing of Your Personal Information as a Controller. When We Process the Personal Information of Prospect Data Subjects, We are only permitted to Process in accordance with the specific instructions of a Prospective Business, as is the case when We Process Personal Information as necessary to conduct due diligence document review and other acquisition related activities. The Prospective Business is responsible for providing Prospect Data Subjects with appropriate privacy notices and disclosures, including any notices or disclosures with respect to that Prospective Business’ transfer of Personal Data to Us for Our Processing. Prospective Businesses cannot rely on this Privacy Policy as a means for satisfying their privacy notice and disclosure obligations.
